1. Membership Terms & Conditions
1.1 Introduction
Welcome to Sinclair Club by Century Shilton Ventures (“Sinclair Club”,
“the Club”, “we”, “us”, or “our”).
These Membership Terms & Conditions govern all memberships,
facilities, services, reservations, applications, and access associated with Sinclair Club and Sinclair
Suites.
By applying for, accepting, renewing, accessing, or using any
membership, facility, platform, reservation, or service associated with Sinclair Club, members acknowledge and agree
to these Terms.
Sinclair Club is a private members’ institution operated by Shilton
Hospitality Pvt Ltd on behalf of Century
Shilton Ventures.
1.2 Membership Eligibility

Membership is available only to individuals aged 18 years and above.

Access to bars, alcohol-serving venues, and designated
age-restricted areas is limited to individuals aged 21 years and above.

Membership approval remains subject to internal review,
verification, and discretionary approval by the Club.

The Club reserves the right to accept, reject, suspend, revoke, or
decline renewal of any membership application at its sole discretion.

The Club shall not be obligated to provide reasons for rejection,
suspension, or non-renewal.
1.3 Membership Types
The Club may offer various membership categories including but not
limited to:
- Annual Memberships
- Multi-Year Memberships
- Student Memberships
- Family Memberships
- Corporate Memberships
- Nominee Memberships
- Invite-Only Memberships
Membership categories, privileges, access rights, and pricing may be
revised by the Club from time to time.
1.4 Membership Nature
Membership at Sinclair Club is a revocable privilege and not a
guaranteed right of access.
All memberships remain subject to:
- compliance with Club policies,
- member conduct,
- operational requirements,
- security standards, and the values, discretion, and environment maintained by the Club.
1.5 Membership Fees

Membership fees are non-refundable unless explicitly stated
otherwise by the Club.

Taxes, levies, and applicable government charges shall be
additional.

Any initial booking or application advance may be partially
refundable subject to Club policy and management review.

Service-specific deposits, reservations, amenities, event bookings,
and facility charges may carry separate cancellation and refund conditions.
1.6 Membership Application, Expression of Interest & Enrollment
Controls
Expression of Interest & Token Submission
Applicants seeking enrollment into Sinclair Club shall submit a
completed application form together with the applicable non-operational Expression of Interest
amount and/or token amount (“Token Fee/EOI”), as determined by the Club from time to time.
Submission or acceptance of a Token Fee/EOI shall not:
- create any contractual entitlement to membership,
- guarantee admission,
- establish any vested rights,
- create operational access rights,
-
or obligate the Club to approve, activate, or grant membership.
All applications remain subject to:
- internal vetting,
- eligibility review,
- background verification,
- KYC validation,
- operational suitability review,
- reputational assessment,
- security review,
- and management discretion.
Voluntary Withdrawal & Forfeiture
Where an applicant:
- voluntarily withdraws,
- abandons the application,
- fails to complete onboarding,
- fails to provide documentation,
- fails KYC completion,
- declines to proceed,
- or otherwise discontinues the enrollment process voluntarily, the Token Fee/EOI shall stand irrevocably forfeited to the Club
without further liability or obligation.
The applicant expressly waives claims relating to:
- refund entitlement,
- damages,
- reliance losses,
- opportunity losses,
- or membership expectation claims.
Club Rejection & Refund Processing
The Club retains unrestricted discretion to reject, defer, or decline
any application where:
- eligibility standards are not satisfied,
- submitted information is incomplete or inaccurate,
- verification procedures remain unsatisfactory,
- reputational concerns arise,
- operational incompatibility is identified,
- security concerns exist,
- or membership alignment standards are not met.
Where an application is formally rejected solely by the Club following
completion of internal
review procedures, the Token Fee/EOI may be refunded within fourteen
(14) business days
from issuance of the formal rejection notice, subject to:
- verification clearance,
- payment reconciliation,
- fraud review,
- and regulatory compliance checks.
The Club reserves the right to withhold or delay refunds where:
- fraudulent activity is suspected,
- chargeback disputes arise,
- regulatory obligations apply,
- or verification discrepancies remain unresolved.
Finality & Discretion
All decisions relating to:
- admission,
- waitlisting,
- onboarding,
- rejection,
- suspension,
- membership activation,
- nominee approvals,
- and operational eligibility,
shall remain entirely within the discretion of Sinclair Club.
Such decisions shall remain final, binding, and non-contestable except
where prohibited by
applicable law.
1.7 Membership Renewal

Memberships may automatically renew unless cancellation is requested
by the member prior to
renewal.

Members may choose not to renew at any time prior to the
commencement of a renewed term.

Membership cancellation during an active membership period shall not
entitle the member to any
refund unless specifically approved by management.
1.8 Membership Freeze
-
Members may request a temporary freeze of membership for up to one
month, subject to approval
by the Club.
-
During the freeze period, access privileges and associated benefits
shall remain suspended.
-
Membership freeze approvals remain entirely at the discretion of the
Club.
1.9 Transferability & Nomination
- Memberships are non-transferable.

Transfers may only be considered under exceptional circumstances
subject to management review.

Corporate memberships and approved membership categories may
nominate users or
representatives subject to Club verification procedures.
1.10 Guest Access

Guests may enter the Club only when accompanied or sponsored by an
active member unless
specifically permitted by the Club.

Guests staying at Sinclair Suites may be granted limited access as
permitted by the Club.
-
Members remain responsible for the conduct, behavior, liabilities,
and actions of their guests.
-
The Club reserves the right to deny entry to any guest without
explanation.
1.11 Conduct & Club Environment
Members and guests are expected to maintain respectful, lawful, and
appropriate conduct at all times.
The following may result in suspension, removal, or termination:
- misconduct toward staff or guests,
- harassment,
- violence or threats,
- damage to property,
- intoxicated misconduct,
- possession or use of illegal substances,
- reputational harm to the Club,
- disruptive or abusive behavior,
- social media misconduct,
- unauthorized commercial solicitation,
- political or religious campaigning,
- breach of safety policies,
- misuse of Club systems or facilities.
The Club reserves the right to suspend or revoke membership where
conduct is deemed inconsistent with the standards, discretion, environment, reputation, or values of
Sinclair Club.
1.12 Admission Rights
The Club reserves the right of admission at all times.
Entry may be denied, restricted, or revoked for operational, legal,
security, safety, behavioral, reputational,
or administrative reasons.
1.13 Smoking, Safety & Restricted Items
- Smoking is permitted only within designated smoking areas.

Weapons, firearms, explosives, and hazardous items are strictly
prohibited.

Illegal narcotics or prohibited substances are strictly prohibited.
-
Pets may be permitted in designated areas subject to Club policies.
1.14 Photography & Media
Photography and videography are generally permitted unless otherwise
restricted.
Members and guests are expected to exercise respect, discretion,
cooperation, and consideration toward
the privacy concerns of fellow members and guests.
The Club may capture photography or videography within Club premises
for operational, archival,
promotional, marketing, or social media purposes.
By accessing Club premises, members and guests acknowledge that
incidental inclusion in such content
may occur.
1.15 Suspension & Termination
The Club may suspend, restrict, or terminate any membership
immediately at its sole discretion.
Partial refunds, if any, shall remain subject to management review and
applicable internal policies.
1.16 Amendments
The Club reserves the right to:
- amend policies,
- revise pricing,
- modify services,
- alter facilities,
- revise operational hours,
- suspend amenities,
- update membership structures, without prior notice.
1.17 Governing Law
These Terms shall be governed by the laws of India.
Any disputes shall first be attempted to be resolved amicably. Failing
resolution, disputes shall be referred
to arbitration seated in Bengaluru, Karnataka, before a sole
arbitrator in accordance with the Arbitration
and Conciliation Act, 1996.
Courts in Bengaluru, Karnataka shall retain supervisory jurisdiction.
2. Privacy Policy
2.1 Introduction
Sinclair Club by Century Shilton Ventures (“Sinclair Club”, “we”,
“us”, or “our”) respects the privacy,
discretion, and confidentiality of its members, guests, residents, and
visitors.
This Privacy Policy explains how personal information is collected,
processed, stored, used, and protected
across:
- Sinclair Club,
- Sinclair Suites,
- mobile applications,
- websites,
- digital systems,
- reservations,
- access systems,
- events,
- hospitality operations,
- and associated services.
Sinclair Club is operated by Shilton Hospitality Pvt Ltd on behalf of
Century Shilton Ventures.
2.2 Information Collected
The Club may collect:
- name,
- contact information,
- address,
- government-issued identification,
- KYC documents,
- payment information,
- reservation details,
- guest information,
- membership information,
- photographs,
- audio/video recordings,
- biometric information,
- facial recognition data,
- geolocation information,
- device information,
- Wi-Fi usage logs,
- RFID access logs,
- QR access data,
- social profile information,
- member preferences,

wellness and facility usage information, • emergency contact
details,
- and operational records.
2.3 Biometric & Facial Recognition Consent
By enrolling for membership or using designated facilities, members
expressly consent to the collection
and use of biometric identifiers, facial recognition systems, RFID
systems, QR systems, geolocation
technologies, and associated access-control technologies for:
- security,
- authentication,
- access management,
- operational efficiency,
- fraud prevention,
- safety monitoring,
- and service enhancement.
Such information shall be handled with appropriate security controls
and restricted access measures.
2.4 CCTV & Surveillance
Club premises may be monitored through CCTV systems including audio
and video recording.
Monitoring may occur for:
- safety,
- security,
- investigations,
- liability protection,
- incident review,
- misconduct investigations,
- emergency response,
- and operational management.
By entering Club premises, members and guests acknowledge and consent
to such monitoring.
2.5 Guest Information
Members acknowledge and accept responsibility for informing guests
that:
- identification may be required,
- guest information may be recorded,

surveillance systems may operate on premises, • and guest access
remains subject to Club policies.
2.6 Use of Information
Information may be used for:
- membership administration,
- reservation management,
- hospitality operations,
- billing,
- security,
- access control,
- wellness services,
- personalization,
- operational analytics,
- customer support,
- emergency response,
- dispute resolution,
- legal compliance,
- and service improvement.
Marketing communications shall only be provided where consent or
opt-in authorization has been
provided.
2.7 No Sale of Data
Sinclair Club does not sell personal information to third parties.
Member and guest information shall not be commercially sold, traded,
or disclosed to partner brands for
marketing purposes.
2.8 Sharing of Information
Information may be shared only:
- with authorized service providers,
- payment processors,
- legal authorities where required,
- operational vendors acting under confidentiality obligations,
- emergency responders, • or where legally necessary.
2.9 Member Networking Features
The Club may provide digital networking features, member directories,
profile systems, or community
features within its applications or platforms.
Members retain responsibility for information voluntarily shared
within such systems.
2.10 Retention of Information
Information shall be retained for operational, legal, regulatory,
security, compliance, investigative, and
administrative purposes for such duration as deemed necessary by the
Club.
2.11 Security Measures
The Club implements commercially reasonable technical, operational,
and administrative safeguards to
protect information.
However, no digital system or transmission method can guarantee
absolute security.
2.12 Rights & Requests
Members may request access, correction, or deletion of certain
personal information subject to:
- legal obligations,
- security requirements,
- operational necessity,
- and applicable law.

2.13 Policy Updates
The Club may revise this Privacy Policy periodically.
Continued use of Club facilities, services, platforms, or systems
following such revisions constitutes
acceptance of the updated policy.
3. Refund & Cancellation Policy
3.1 Membership Fees
Membership fees are non-refundable unless otherwise expressly approved
by management.
3.2 Advances & Deposits
Application advances, reservations, and deposits may be partially
refundable subject to:
- management discretion,
- operational costs,
- timelines,
- and service-specific conditions.
3.3 Service Cancellations
Refunds relating to:
- reservations,
- events,
- wellness services,
- dining,
- suites,
- amenities,
-
and facility bookings, shall remain subject to applicable
service-specific cancellation policies.
3.4 Processing Time
Approved refunds may require reasonable processing time.
4. House Rules & Club Etiquette
4.1 Environment
Sinclair Club maintains a refined private environment intended for
respectful social, professional, leisure,
and hospitality experiences.
Members and guests are expected to exercise discretion, courtesy,
cooperation, and consideration.
4.2 Conduct Expectations
The following behavior is prohibited:
- harassment,
- intimidation,
- violence,
- discrimination,
- abusive conduct,
- vandalism,
- unlawful activity,
- inappropriate intoxication,
- misuse of facilities,
- reputationally damaging conduct,

disruptive content creation, • unauthorized commercial activity.
4.3 Photography
Members and guests are expected to remain mindful of the privacy and
comfort of others while capturing
photographs or videos.
The Club may request cessation of photography or videography in
sensitive or restricted circumstances.
4.4 Dress & Decency
Appropriate public decency standards are expected at all times.
Nudity or inappropriate public exposure is prohibited.
Swimwear is permitted only within relevant designated areas.
4.5 Smoking
Smoking is permitted only in designated smoking zones.
4.6 Pets
Pets may be permitted in designated areas subject to Club rules and
operational guidelines.
4.7 Weapons & Illegal Substances
Weapons, firearms, explosives, and illegal substances are strictly
prohibited.
Violations may result in immediate removal, suspension, termination,
or notification to authorities.
5. Guest Policy
- Guests remain subject to Club policies at all times.
- Members remain responsible for guest conduct.

Guest access may be denied, limited, or revoked by management.
- Guest identification may be required.
- Guest privileges may vary depending on membership category.
- Repeated guest misconduct may impact member privileges.
6. Suites & Reservation Policy
6.1 Hospitality Operations, Reservations & Accommodation
Governance
Reservation Controls
All suite reservations, hospitality access, accommodations, and
operational services remain
subject to:
- availability,
- verification,
- payment clearance,
- operational feasibility,
- legal compliance,
- and management approval.
The Club reserves the right to:
- reject,
- suspend,
- modify,
- cancel,
- relocate,
- or restrict reservations,
without liability where operational, legal, reputational, technical,
security, or safety concerns
arise.
Registration & Identity Verification
All occupants, visitors, guests, and accompanying persons may be
required to provide:
- government-issued identification,
- age verification,
- address information,
- digital verification,
- and other information deemed necessary by the Club.
The Club may:
- record,
- retain,
- process,
- authenticate,
- and verify such information
for operational, regulatory, security, investigative, and legal
purposes.
Submission of false, misleading, incomplete, or fraudulent information
may result in:
- denial of accommodation,
- removal from premises,
- suspension of access,
- or notification to relevant authorities.
Payments, Charges & Authorizations
The Club may require:
- advance deposits,
- payment guarantees,
- pre-authorizations,
- security holds,
- or operational payment assurances.
Applicable taxes, levies, statutory charges, service fees, and
governmental charges shall apply
additionally unless expressly stated otherwise.
The member or guest authorizes the Club to recover:
- unpaid charges,
- damages,
- penalties,
- operational losses,
- or policy violation costs,
through approved payment methods or recovery mechanisms permitted by
law.
Cancellation, Refunds & No-Show Governance
Cancellation policies may vary depending on:
- reservation category,
- promotional structure,
- event-linked reservations,
- operational conditions,
- and pricing structures.
Certain reservations, promotional bookings, event-linked bookings, or
operationally
restricted rates may remain entirely non-refundable.
No-show reservations may attract:
- retention charges,
- cancellation penalties,
- full forfeiture,
- or operational recovery charges.
Approved refunds shall remain subject to:
- internal verification,
- fraud review,
- operational reconciliation,
- banking timelines,
- and payment gateway processing cycles.
Occupancy Conduct & Operational Enforcement
The Club reserves the right to:
- deny occupancy,
- remove guests,
- suspend access,
- involve security personnel,
- or notify authorities,
where conduct is deemed:
- disruptive,
- unlawful,
- abusive,
- unsafe,
- intoxicated,
- threatening,
- reputationally damaging,

or inconsistent with the operational environment of Sinclair Club.
Members and guests shall remain jointly and severally liable for:
- damages,
- losses,
- misconduct,
- unpaid dues,
- legal violations,
- and operational disruptions arising from occupancy or access.
Limitation of Hospitality Liability
To the maximum extent permitted by law, Sinclair Club, Century Shilton
Ventures, Shilton
Hospitality Pvt Ltd, and associated entities shall not be liable for:
- loss of valuables,
- theft,
- operational interruptions,
- technical failures,
- reservation errors,
- governmental actions,
- force majeure events,
- weather disruptions,
- utility failures,
- digital outages,
- third-party conduct,
- or events beyond reasonable operational control.
Guests remain responsible for securing personal belongings and
valuables appropriately.
6.2 Check-In & Check-Out
- Check-In: 2:00 PM
- Check-Out: 12:00 PM
Early check-in and late check-out remain subject to availability.
6.3 Visitor Access
Visitors may access suites only in the presence or authorization of
the registered member or guest.
6.4 Outside Food & Alcohol
Outside food and alcohol may be permitted subject to prior management
approval and applicable
operational guidelines.
6.5 Damages
Members and guests remain liable for damage caused to suites,
amenities, fixtures, furnishings, or
property.
6.6 Access Restrictions
The Club reserves the right to restrict or deny access to suites or
associated facilities where necessary for:

Security & maintenance, legal compliance, operational reasons or
misconduct review.
7. Website Terms of Use
By accessing Sinclair Club websites, applications, platforms, or
digital systems, users agree:
- not to misuse digital services,
- not to attempt unauthorized access,
- not to distribute harmful content,
- not to violate applicable law,
- and not infringe intellectual property rights.
The Club reserves the right to suspend digital access or accounts
where misuse is suspected.
8. Cookie Policy
Sinclair Club may use:
- cookies,
- session cookies,
- analytics tools,
- web beacons,
- tracking technologies,
- and functionality tools.
These technologies may be used for:
- authentication,
- analytics,
- personalization,
- operational performance,
- user preferences,
- and digital security.
Users may disable cookies through browser settings, though certain
features may be affected.
9. Alcohol, Wellness & Safety Policy
9.1 Alcohol Service
The Club reserves the right to:
- refuse alcohol service,
- deny entry,
- remove intoxicated persons,
- or contact emergency authorities where necessary.
Alcohol service remains restricted to persons legally permitted under
applicable law.
9.2 Wellness & Recreational Facilities
Use of pools, fitness areas, wellness facilities, sports facilities,
spa areas, and recreational amenities, shall
occur entirely at the user’s own risk.
Members and guests are responsible for ensuring they are medically fit
for participation.
9.3 Emergency Response
The Club may contact emergency services, medical responders, security
personnel, or authorities where
deemed necessary.
10. Liability & Risk Disclosure
Members and guests acknowledge that use of Club facilities involves
inherent risks.
To the maximum extent permitted by law, Sinclair Club, Century Shilton
Ventures, Shilton Hospitality Pvt
Ltd, their affiliates, management, employees, representatives, and
contractors shall not be liable for:
- injury,
- illness,
- accidents,
- theft,
- property loss,
- parking damage,
- valet incidents,
- service interruptions,
- intoxication-related incidents,
- acts of third parties,
- or operational disruptions.
Parking and valet services are used entirely at the vehicle owner’s
risk.
11. Arbitration & Governing Law
All disputes, claims, or controversies arising out of membership,
services, reservations, facilities, operations,
or policies shall first be attempted to be resolved amicably.
Failing amicable resolution, disputes shall be referred to arbitration
in Bengaluru, Karnataka before a sole
arbitrator appointed in accordance with applicable law.
Proceedings shall remain confidential.
These policies shall be governed by the laws of India.
12. Internal Membership Agreement
&Enforceable Member Covenants
12.1 Binding Nature
This Internal Membership Agreement (“Agreement”) constitutes a legally
binding agreement between
Sinclair Club by Century Shilton Ventures (“the Club”) and the member.
Execution, payment, onboarding, digital acceptance, biometric
enrollment, facility access, application
submission, reservation activity, RFID activation, QR activation, or
continued use of Club facilities shall
constitute valid acceptance of this Agreement.
12.2 Revocable Nature of Membership
Membership is a discretionary, revocable privilege granted by the
Club.
The Club retains absolute discretion to:
- approve,
- reject,
- suspend,
- restrict,
- revoke,
- refuse renewal,
- downgrade,
- temporarily freeze,
- or permanently terminate any membership.
The Club shall not be obligated to disclose internal reasoning,
investigations, evaluations, complaints,
deliberations, security findings, or reputational considerations
associated with such decisions.
12.3 Membership Verification & KYC
Members shall provide accurate and updated:
- identification documents,
- KYC documentation, photographs, address proof, age
verification, nominee details,
corporate authorizations, and
financial/payment information.
The Club may independently verify all submitted information.
Submission of false, misleading, incomplete, fraudulent, or
unverifiable information may result in
immediate rejection or termination.
12.4 Biometric, Facial Recognition & Access Authorization
The member expressly authorizes Sinclair Club to:
- capture,
- process,
- store,
- authenticate,
-
and use biometric identifiers, facial recognition systems, RFID
credentials, QR systems, geolocation
systems, Wi-Fi authentication systems, device identifiers, digital
credentials, and access-control
technologies.
Such systems may be used for:
- security,
- access control,
- operational management,
- member verification,
- fraud prevention,
- emergency response,
- surveillance,
- incident investigation,
- occupancy management,
- parking access,
- digital authentication,
- hospitality operations, • and service personalization.
The member expressly waives objections to such systems where deployed
lawfully and operationally by
the Club.
12.5 CCTV, Audio Monitoring & Surveillance Consent
The member acknowledges that Club premises, including but not limited
to entrances, corridors, valet
zones, common areas like,
- lounges,
- dining venues,
- wellness areas,
- parking zones,
- pools,
- suites access corridors,
- recreational facilities,
-
and operational spaces, may be monitored through audio and video
surveillance systems.
The member expressly consents to such monitoring.
The Club may use surveillance material for:
- operational review,
- investigations,
- misconduct review,
- safety,
- insurance claims,
- legal proceedings,
- law enforcement cooperation,
- emergency response,
- dispute resolution, • and liability protection.
12.6 Conduct, Reputation & Environment Protection
Members shall conduct themselves in a manner consistent with the
standards, discretion, reputation,
exclusivity, and environment of Sinclair Club.
The Club may initiate disciplinary action for conduct including but
not limited to:
- misconduct toward staff,
- abusive behavior,
- reputational damage,
- public controversies,
- disruptive intoxication,
- illegal activity,
- harassment,
- threats,
-
discrimination, vandalism, misuse of facilities, offensive social
media conduct, privacy violations,
unauthorized filming,
defamatory statements,
- aggressive solicitation,
- political campaigning,
- religious campaigning,
- intimidation,
- unethical business activity,
- or conduct deemed incompatible with the Club environment.
The Club’s assessment of reputational or environmental incompatibility
shall remain final and binding.
12.7 Guest Responsibility
Members accept complete responsibility for:
- guest conduct,
- guest liabilities,
- damages,
- unpaid charges,
- misconduct,
- safety violations,
- and policy breaches committed by their guests.
The Club may suspend or terminate a member based on guest misconduct.
12.8 Drug, Substance & Weapons Policy
The possession, use, distribution, promotion, or suspected involvement
with illegal narcotics, prohibited
substances, weapons, explosives, or unlawful materials is strictly
prohibited.
The Club may:
- remove individuals immediately,
- suspend memberships,
- revoke access,
- involve security personnel,
- notify authorities,
- and cooperate with investigations.
Licensed firearms shall also remain prohibited within Club premises
unless expressly authorized in writing
by the Club.
12.9 Medical Emergencies & Intoxication
The member authorizes the Club to:
- deny alcohol service,
- remove intoxicated individuals,
- contact emergency medical services,
- involve authorities,
- arrange transportation,
- restrict access,
-
or take emergency operational decisions where safety concerns arise.
The Club shall not be liable for actions taken in good faith relating
to member or guest safety.
12.10 Wellness, Fitness & Recreational Risk Acknowledgement
The member acknowledges that use of:
- pools,
- gyms,
- wellness facilities,
- spa areas,
- sports areas,
- recreational amenities,
- and hospitality services, may involve inherent risks.
Members voluntarily assume all associated risks including:
- injury,
- illness,
- accidents,
- allergic reactions,
- drowning,
- slips,
- equipment failure,
- physical strain,
- or medical emergencies.
Members confirm that they are medically fit to participate in such
activities.
12.11 Liability Waiver
To the maximum extent permitted by law, the member irrevocably
releases and discharges:
Century Shilton Ventures,
Shilton Hospitality Pvt Ltd,
- affiliates,
- directors,
- employees,
- representatives,
- contractors,
- vendors,
- service providers,
- and management, from claims relating to:
- injury,
- illness,
- death,
- property loss,
- theft,
- digital breaches,

- recreational injuries,
- third-party acts,
- operational disruptions,
- service limitations,
- facility closures,
- reservation cancellations,
- force majeure events,
- member disputes,
- guest actions, • or commercial losses.
12.12 Parking & Valet Disclaimer
All parking and valet services are used entirely at the owner’s risk.
The Club shall not be liable for:
- theft,
- damage,
- fire,
- vandalism,
- weather-related damage,
- mechanical issues,
- or loss of articles from vehicles.
12.13 Digital Systems & Cybersecurity
Members acknowledge that:
- mobile applications,
- RFID systems,
- QR systems,
- member portals,
- payment gateways,
- Wi-Fi systems,
-
and digital services, may involve operational or cybersecurity
risks.
The Club does not guarantee uninterrupted digital functionality.
Members remain responsible for:
- credential security,
- password protection,
- unauthorized access prevention,
- and secure use of Club systems.
Digital membership credentials are strictly non-shareable.
12.14 Data Processing & Consent
The member expressly consents to:
- data collection,
- operational processing,
- profiling,
- access management,
- service personalization,
- hospitality analytics,
- security processing,
- and lawful administrative processing.
The member acknowledges that refusal to provide required operational
information may restrict access
to Club services.
12.15 Confidentiality & Club Discretion
Members acknowledge the private nature of the Club environment.
Members shall not:
- disclose confidential operational information,
- distribute internal Club material,
- publicly disclose member information,
- misuse member directories,

or exploit Club associations for unauthorized commercial gain.
12.16 Commercial Use Restrictions
Without prior written approval, members shall not:
- conduct commercial promotions,
- host unauthorized commercial events,
- solicit business aggressively,
- conduct political campaigns,
- conduct religious campaigns,

distribute marketing materials, • or commercially exploit Club
premises.
12.17 Corporate Membership Covenants
Corporate memberships remain subject to:
- nominee verification,
- periodic review,
- KYC validation,
- and Club approval.
The Club reserves the right to:
- reject nominees,
- revoke nominee access,
- require re-verification,
- or suspend corporate privileges.
Corporate entities remain liable for the conduct and liabilities of
their nominees.
12.18 Family Membership Covenants
Family memberships may permit access to dependents and family members
subject to:
- age restrictions,
- supervision requirements,
- and applicable facility rules.
Parents or guardians remain fully responsible for minors and
dependents.
12.19 Suites & Hospitality Operations
Members acknowledge that:
- reservations remain subject to availability,
- operational limitations may apply,
- access restrictions may occur,

and management retains discretion over hospitality operations.
Outside food or alcohol may only be permitted subject to prior
approval.
The Club may inspect suites where:
- safety concerns,
- operational requirements,
- legal obligations,
- emergencies,
- or policy violations arise.
12.20 Force Majeure
The Club shall not be liable for delays, interruptions, closures,
restrictions, or operational limitations arising
from:
- government actions,
- pandemics,
- natural disasters,
- strikes,
- weather conditions,
- utility failures,
- cybersecurity incidents,
- licensing issues,
- civil disturbances,
- or events beyond reasonable control.
12.21 Non-Refundability & Financial Obligations
Membership fees remain strictly non-refundable except where expressly
approved by the Club.
The Club may:
- suspend services for unpaid dues,
- recover outstanding amounts,
- deny access,
- or initiate recovery proceedings.
Taxes and statutory charges remain additional.
12.22 Suspension, Blacklisting & Reapplication Restrictions
The Club may:
- permanently blacklist,
- prohibit reapplication,
- restrict access,

or deny future admission, where deemed necessary for operational,
reputational, legal, behavioral,
or security reasons.
12.23 Arbitration & Confidential Resolution
All disputes shall first undergo good-faith amicable discussions.
Failing resolution, disputes shall be referred to confidential
arbitration seated in Bengaluru, Karnataka
before a sole arbitrator.
The member waives objections to such dispute resolution procedures.
12.24 Severability
If any provision of this Agreement is held unenforceable, remaining
provisions shall continue in full force.
12.25 Entire Agreement
This Agreement, together with Club policies, digital policies,
operational rules, reservation terms, and
onboarding documentation, constitutes the complete agreement between
the Club and the member.

- incident investigations,
- operational analytics,
- fraud prevention,
- and hospitality operations.
I further consent to:
- audio and video surveillance monitoring,
- digital tracking associated with operational systems,

and retention of relevant security and access information as deemed

restrict access to Club services or facilities.

- intoxication-related incidents,
- property damage,
- theft,
- digital breaches,
- recreational injuries,
- parking or valet incidents, • operational interruptions,
- or third-party conduct.
The member confirms that participation in recreational or wellness
activities occurs voluntarily and at the
member’s own risk.
